These Terms of Service ("Terms") govern your access to and use of the Optimisation Intelligence website, applications, APIs, software, reports and related services (collectively, the "Services").

By creating an account, accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use our Services.

Optimisation Intelligence is an AI-powered search optimisation platform designed to help organisations improve their visibility across:

• Search Experience Platforms

Our Services include but are not limited to:

• Website audits
• Technical SEO analysis
• GEO (Generative Engine Optimisation)
• AI Search Readiness
• E-E-A-T analysis
• Entity analysis
• Content optimisation
• Competitor benchmarking
• Accessibility audits
• AI-generated recommendations
• Reporting
• Integrations
• APIs

You must:

• be at least 18 years old
• have authority to enter into this agreement
• provide accurate registration information
• comply with applicable laws

Business users warrant they have authority to bind their organisation.

You are responsible for:

• maintaining password security
• protecting login credentials
• all activity under your account
• promptly notifying us of unauthorised access

You must not:

• share accounts without permission
• impersonate others
• create fraudulent accounts

OI offers various subscription plans which may include:

• Free
• Starter
• Professional
• Agency
• Enterprise
• Lifetime Licences
• Promotional plans

Features vary by subscription.

Current pricing is published on our website.

Free plans may have limitations including:

• audit limits
• crawl limits
• report history
• exports
• integrations
• API usage

We may modify or discontinue free plans at any time.

Where available, trial periods are offered solely to evaluate the platform.

We reserve the right to end, modify or withdraw trial offers.

Paid subscriptions require valid payment information.

Subscriptions automatically renew unless cancelled before renewal.

Fees are payable in advance.

Applicable taxes may be added where required.

Unless required by applicable law:

• subscription fees are non-refundable
• unused time is not refundable
• downgrades take effect at the next billing period

You retain ownership of:

• websites
• reports
• uploaded information
• documents
• branding
• business information

Submitting data does not transfer ownership to OI.

You grant OI a limited licence to:

• analyse websites
• crawl submitted URLs
• generate reports
• create recommendations
• store report history
• improve platform functionality

This licence ends when your account is deleted except where retention is required by law.

All intellectual property relating to OI including:

• software
• algorithms
• dashboards
• reports
• user interface
• branding
• AI systems
• scoring methodologies
• documentation

remains the exclusive property of Optimisation Intelligence.

Nothing in these Terms transfers ownership to the customer.

OI uses artificial intelligence to generate optimisation recommendations.

These recommendations are intended to assist decision making.

Customers remain responsible for implementing changes and validating recommendations.

OI does not guarantee improved rankings, traffic or commercial performance.

By submitting a website you confirm that:

• you own the website; or
• you have authority to analyse it

You agree not to submit websites unlawfully.

Users may connect third-party services.

Examples include:

• Google Search Console
• Google Analytics
• Google Business Profile
• Bing Webmaster Tools

OI accesses only authorised information necessary to provide requested functionality.

Third-party services remain subject to their own terms.

Where API access is provided:

You may not:

• abuse rate limits
• resell without permission
• reverse engineer endpoints
• disrupt service availability

API limits may vary by subscription.

You agree not to:

• use OI for illegal activity
• attempt unauthorised access
• introduce malware
• interfere with platform operation
• scrape OI systems
• copy reports for resale
• infringe intellectual property
• upload malicious code
• harass other users

We aim for high availability but do not guarantee uninterrupted service.

Maintenance, upgrades and unforeseen incidents may occasionally affect availability.

OI employs commercially reasonable security measures including:

• encryption
• authentication
• access controls
• monitoring
• secure cloud infrastructure

No online platform can guarantee absolute security.

Each party agrees to protect confidential information disclosed during use of the Services.

Confidential information excludes information already publicly available or independently developed.

Our handling of personal information is governed by our Privacy Policy.

Where applicable, our Data Processing Agreement also applies.

Suggestions or feedback submitted to OI may be used to improve the platform without compensation.

You retain ownership of your underlying business information.

Beta functionality is provided:

• as-is
• without warranty
• may change or be removed
• may contain bugs

We may suspend accounts where:

• Terms are breached
• payment fails
• fraud is suspected
• security is threatened
• unlawful activity is detected

You may cancel your subscription at any time.

We may terminate accounts for serious or repeated breaches of these Terms.

Upon termination:

• access ends
• licences end
• outstanding fees remain payable
• applicable data retention periods apply

Services are provided "as is" and "as available".

To the fullest extent permitted by law, OI disclaims all implied warranties including merchantability, fitness for a particular purpose and non-infringement.

To the maximum extent permitted by law:

OI shall not be liable for:

• indirect damages
• consequential damages
• loss of profits
• loss of revenue
• business interruption
• loss of goodwill
• loss of rankings
• search engine penalties
• AI platform decisions

Our total liability shall not exceed the amount paid by the customer during the twelve (12) months preceding the claim.

You agree to indemnify OI against claims arising from:

• unlawful use
• breach of these Terms
• infringement of third-party rights
• misuse of the Services

Users are responsible for complying with applicable laws including:

• GDPR
• UK GDPR
• POPIA
• consumer protection laws
• intellectual property laws

OI shall not be liable for delays or failures caused by circumstances beyond our reasonable control including:

• natural disasters
• internet outages
• cyber attacks
• war
• government actions
• labour disputes

We may modify these Terms from time to time.

Material changes will be communicated through the platform or by email where required.

Continued use constitutes acceptance.

These Terms are governed by the laws of South Africa, unless otherwise agreed in writing for Enterprise customers.
